1. Agreement to Terms

By accessing or using Reciproc8™ ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Reciproc8™ is a mobile application and online platform that facilitates skill-sharing and bartering exchanges between users. The Service allows users to offer their skills, request skills from others, and engage in barter transactions.

3. Geographic Restrictions

Reciproc8™ is currently only available to users located in New York City (NYC). By using the Service:

  • You agree to provide your GPS location data for verification purposes
  • You confirm that you are physically located in NYC
  • You understand that we will verify your location at signup and every 30 days thereafter
  • You acknowledge that access to the Service will be denied if you are located outside NYC

If you move outside NYC, you must discontinue use of the Service.

4. Eligibility

You must be at least 18 years old to use Reciproc8™. By using the Service, you represent and warrant that you meet this age requirement.

5. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate and current
  • Keep your account credentials secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities that occur under your account

6. User Monitoring and Analytics

By using Reciproc8™, you acknowledge and agree that we monitor and track your use of the Service for analytics, product improvement, and support purposes. This includes:

  • Recording your screen activity while using the app
  • Tracking individual user events and actions
  • Collecting performance and usage data
  • Linking this data to your user account (non-anonymized tracking)

All monitoring and data collection practices are described in detail in our Privacy Policy. By using the Service, you consent to these monitoring practices.

7. User Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Impersonate any person or entity
  • Harass, threaten, or harm other users
  • Post or transmit any content that is offensive, abusive, defamatory, or obscene
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service
  • Use the Service to spam, advertise, or solicit other users
  • Create multiple accounts or use the Service if your account has been suspended
  • Attempt to circumvent geographic restrictions or location verification
  • Share or disclose other users' personal information without consent

8. Identity Verification

Reciproc8™ may require identity verification through submission of photos (selfie and government-issued ID). By submitting these photos:

  • You consent to their use for identity verification purposes
  • You represent that you have the right to provide these photos
  • You understand they may be retained according to our Privacy Policy

9. Barter Exchanges

  • All barter exchanges are agreements directly between users
  • Reciproc8™ is not a party to any barter exchange and does not guarantee the quality, safety, or legality of any exchanges
  • Users are solely responsible for evaluating and determining the suitability of exchanges
  • Reciproc8™ does not guarantee that users will complete exchanges or that skills offered are accurately represented
  • Users should exercise caution and good judgment when engaging in exchanges

10. User Content

You retain ownership of any content you submit to the Service. By submitting content, you grant Reciproc8™ a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and display your content in connection with operating and providing the Service.

11. Reviews and Ratings

Users may review and rate other users after completing exchanges. Reviews must:

  • Be based on genuine experiences
  • Be honest and not misleading
  • Not contain offensive or inappropriate content
  • Not violate the privacy of other users

Reciproc8™ reserves the right to remove reviews that violate these Terms.

12. Intellectual Property

The Service and its original content, features, and functionality are owned by Reciproc8™ and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

13. Privacy

Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

14. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Behavior that harms other users or the Service
  • Location outside NYC geographic boundary
  • Extended periods of inactivity

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECIPROC8™ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

17. Indemnification

You agree to indemnify, defend, and hold harmless Reciproc8™, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Service or violation of these Terms.

18. Dispute Resolution

These Terms shall be governed by the laws of the State of New York, United States. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

19. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date.

20. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Reciproc8™ regarding the Service.
